'Corporate Resolution Disputes in the Stock Corporation and Arbitration': The arbitration of disputes regarding defective shareholder resolutions in partnerships and limited liability companies has gained increasing importance. However, it remains unclear whether disputes over defective shareholder resolutions in stock corporations may also be resolved through arbitration. This thesis demonstrates that neither the mandatory organizational structure of the stock corporation (Section 23 (5) AktG) nor the legal framework governing actions against general meeting resolutions, as set forth in Sections 243 et seq. AktG, precludes arbitration proceedings.
