This book examines the statutory duties of a company secretary in public companies in Nigeria. The research evaluates the legal framework governing the office of the company secretary under the Companies and Allied Matters Act (CAMA) 2020 and other corporate governance regulations, with a view to assessing the effectiveness of the company secretary in ensuring corporate compliance, accountability, and sound governance practices. The study adopts a doctrinal research methodology, relying on the analysis of statutes, judicial decisions, corporate governance codes, textbooks, journal articles, and other relevant legal materials. The theoretical foundation of the study is anchored on Agency Theory, Stewardship Theory, and Legal Positivism, which collectively explain the company secretary's role as a governance agent, corporate steward, and custodian of statutory compliance. Findings reveal that the company secretary occupies a strategic position within corporate administration, serving as an adviser to the board, custodian of corporate records, compliance officer, and liaison between the company, shareholders, and regulatory authorities.
